Terms of Service

The short version
Co-Teacher is a tool for teachers, schools, and parents. Use it responsibly and only with appropriate authorization to upload student work. The AI provides guidance, not a substitute for professional judgment. Schools that sign a separate agreement with us are governed by that agreement first. You own the work you upload; we own the software. Our liability is limited as described below.
If anything here differs from a signed agreement between us and your school, that agreement controls.
1. Who We Are and What These Terms Cover
These Terms of Service (“Terms”) are a legal agreement between you and Simovia, Inc., a Delaware corporation, doing business as Co-Teacher (“Co-Teacher,” “we,” “us”). They govern your use of the Co-Teacher application and website (the “Service”). By using the Service, you agree to these Terms.
If you use Co-Teacher under an agreement between us and a school or district (such as a master services agreement or data privacy agreement), that signed agreement governs and controls over these Terms where they conflict.
2. Who May Use the Service
- Accounts must be created by adults age 18 or older: teachers, school staff, or parents and guardians.
- Children do not create accounts or log in directly.
- By creating an account, you confirm you are authorized to use the Service and to upload any student work you submit, consistent with your school’s policies and applicable law.
3. Accounts and Invited Users
- You are responsible for activity under your account and for keeping your login secure.
- A parent account holder may invite trusted individuals (such as a tutor or family member) to view a child’s work. Invited users may view and, where enabled, upload work, but cannot invite others.
- The account holder is responsible for the actions of users they invite.
4. Acceptable Use
You agree not to:
- Upload unlawful, harmful, or infringing content, or content you are not authorized to share.
- Use the Service to harass, exploit, or harm anyone.
- Attempt to reverse-engineer, copy, disrupt, or gain unauthorized access to the Service or its systems.
- Use the Service to build a competing product or to train a machine-learning model.
5. Student Data and Privacy
Our collection and use of personal information is described in our Privacy Policy. When a school uses the Service, the school controls its students’ education records and we act on the school’s behalf as a service provider and “school official” under FERPA, subject to any data privacy agreement we sign with the school.
We do not sell personal information and do not use student data to train, fine-tune, or develop AI models.
6. Payments
- Some features of the Service require payment. Pricing and billing terms are presented at purchase.
- Paid plans are billed through Stripe. For school partnerships, billing follows the terms of the applicable agreement (for example, monthly or quarterly, cancel-anytime).
- Unless a signed agreement says otherwise, fees are non-refundable except as required by law. We will give notice before any change to recurring fees.
7. Intellectual Property
- Your content. You retain ownership of the student work and materials you upload. You grant us a limited license to process and display that content solely to provide the Service to you.
- Our content. We own the Service, including its software, design, and the underlying technology and methods. We do not transfer those rights to you.
- Generated materials. Materials the Service generates for you (such as a Lesson Brief, Worksheets, Slides, and a Scorecard) are yours to use for educational purposes.
8. AI Services Disclaimer
The Service uses third-party AI providers (OpenAI, Anthropic, and Google) to generate educational materials. AI output may contain errors or omissions and is advisory only. It is not a substitute for the professional judgment of a teacher or the involvement of a parent. You are responsible for reviewing materials before relying on them.
9. Service Availability
- We aim for reliable service but do not guarantee that it will be uninterrupted or error-free.
- We may modify, suspend, or discontinue features. For school partnerships, we will handle changes consistent with the applicable agreement.
10. Disclaimers
Except as expressly stated in a signed agreement, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages.
- Our total liability arising out of or relating to the Service is limited to the greater of fifty U.S. dollars ($50) or the amount you paid us in the twelve (12) months before the event giving rise to the claim.
Different limits may apply where set out in a signed agreement with a school or district.
12. Termination
- You may stop using the Service at any time, including by deleting your account, which removes the data you have uploaded.
- We may suspend or terminate accounts that violate these Terms.
- On termination, we handle data in accordance with our Privacy Policy and any applicable signed agreement, including deletion of student data.
13. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
- Except where prohibited by law, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association. Agreements with public schools or districts may instead specify the forum and governing law required by that public entity, which will control for that relationship.
14. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will notify account holders by email or through the Service. Continued use after changes take effect means you accept the updated Terms.
