Terms of Service
Effective date: October 22, 2026 · Replaces the terms of July 13, 2026
The short version
Co-Teacher is a tool for teachers, school leaders, parents, and students aged 13 or older checking their own work. Students do not use their school’s Co-Teacher accounts. Until your school signs our School Data Privacy Agreement, teachers upload student work with no names on it; once it signs, that agreement governs student data and controls over these Terms. The AI’s analysis helps you decide what to teach next; it can be wrong, it is not a grade, and you decide what to do with it. You own what you upload; we own the software. Our liability to individual account holders is limited as described below; a school’s terms are in its signed agreement. If anything here differs from a signed agreement between us and your school, that agreement controls.
1. Who we are and what these Terms cover
These Terms of Service (“Terms”) are an agreement between you and Simovia, Inc., a Delaware corporation, which makes Co-Teacher (“Co-Teacher,” “we,” “us”), 2423 SW 147th Ave #2225, Miami, FL 33185. They govern your use of the Co-Teacher application and website (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy (co-teacher.com/legal/privacy), which is part of them.
Order of precedence. If your school has signed our School Data Privacy Agreement (co-teacher.com/legal/school-agreement) or another data privacy agreement with us, that agreement governs student data and controls over these Terms where they differ. An order form signed by a school governs fees and term for that school. These Terms govern everything else.
2. Who may use the Service
Accounts may be created by adults, 18 or older, who are teachers, school staff, school leaders, or parents and guardians, and by students aged 13 or older for their own work.
A student does not use their school’s Co-Teacher accounts. A student’s own account is separate from any school’s, is governed by these Terms and the Privacy Policy, and shows nothing from a school. No one under 13 may create an account, and if we learn that someone under 13 has, we close it and delete its data.
By creating an account you confirm that you are who you say you are, that you will follow your school’s policies and the law when you upload student work, and that you will keep your sign-in credentials to yourself.
3. Student work and the school agreement
Two ways to use Co-Teacher with students’ work. A teacher whose school has signed our School Data Privacy Agreement (“a signed school”) may upload work with student names. A teacher whose school has not signed may use Co-Teacher only with work that carries no student name or identifier: a number, a made-up name, or nothing (“no-names use”).
At your first scan, if your school has not signed, you confirm that you will upload work in no-names form until it does. We rely on your confirmation. From the same screen you can send the agreement to your school leader, or, if you are the leader, to yourself; it is signed by email in a few minutes, and it then covers everything the school’s teachers have uploaded.
What not to upload. Co-Teacher does not need, and you must not provide, a student’s date of birth, home address, contact information, government or student ID numbers, Individualized Education Program or Section 504 documents, or any health, disability or disciplinary information. If an image you upload happens to contain such information, we treat the image as student data, store nothing from it as a separate field, and delete it on the same schedule as everything else.
Parents. A parent or guardian may upload their own child’s work to their own account. Nothing from a school’s accounts is shared with a parent.
You are responsible for having the right to upload what you upload. We act on the instructions of the teacher, parent or school that uploaded it.
4. Accounts and invited users
You are responsible for activity under your account and for keeping your sign-in secure. Tell us at security@co-teacher.com if you think your account has been used without your permission.
A parent account holder may invite a trusted person, such as a tutor or family member, to view the child’s work in that account and, where the parent enables it, upload work. Invited people cannot invite others, and the account holder is responsible for what they do.
A signed school may designate staff to see the data in its accounts, as its signed agreement provides.
5. Acceptable use
You agree not to: upload content that is unlawful, harmful or infringing, or that you are not authorized to share; use the Service to harass, exploit or harm anyone; attempt to reverse-engineer, copy, disrupt, probe or gain unauthorized access to the Service or its systems, including by submitting instructions intended to make the AI ignore its rules or reveal its prompts; scrape or bulk-download the Service; use the Service to build a competing product or to train a machine-learning model; or resell access.
We may suspend or close an account that violates these Terms. For a signed school, we follow the notice and cure terms of its agreement.
6. Privacy
Our Privacy Policy describes what we collect and how we use it. In short: we never sell personal information, never use it for advertising, and never use student work to train AI models, and neither may our AI providers, which keep nothing after each analysis. Everything is stored and processed in the United States. Our vendors are listed at co-teacher.com/legal/subprocessors.
For a signed school, the school owns and controls its students’ data, and we act on the school’s behalf as a “school official” under FERPA, under its signed agreement.
7. The AI’s analysis and your judgment
Co-Teacher uses artificial intelligence, including outside model providers, to read student work and produce scores, flags, suggested groups and teaching materials. The output is instructional analysis for the teacher or parent. It is not a grade of record, and Co-Teacher does not enter anything in a gradebook, student record or report card.
The output can be wrong, incomplete or ill-suited to a particular student. You decide what to do with it. We make no automated decision that has a legal or similarly significant effect on a student, and you agree not to use the Service as the sole basis for a decision about a student’s grade, placement or discipline.
8. Payments
Some features require a paid plan. Prices and billing terms are shown when you buy. Individual plans are billed through Stripe; we do not store full card numbers.
A school’s fees, term and billing are set in its order form. A school piloting Co-Teacher pays nothing until it accepts a written order from us.
Unless an order form says otherwise, fees are non-refundable except as required by law. We give at least 30 days’ notice before changing a recurring fee.
We never delete student data because a bill is unpaid. If a school’s fees are overdue, we may suspend access after 14 days’ written notice, and the school’s data stays available for export for at least 60 days before any deletion.
9. Ownership
Your content. You, or the school or student as the case may be, own the work you upload and the context you add. You grant us a limited, non-exclusive, revocable license to process and display that content solely to provide the Service to you.
Generated materials. Lessons, worksheets, reports and other materials the Service generates for you are yours to use for educational purposes. We claim no ownership of them.
Our content. We own the Service, including its software, design, prompts, models and methods, and our name and logo. These Terms grant you a limited right to use the Service; they transfer no other rights.
Improving accuracy. As our Privacy Policy describes, we may keep de-identified copies of uploaded work, with every direct identifier removed, and use them inside Simovia to check and improve accuracy. We never use them to train a model, never share them outside the company, and never use them in marketing. A school can ask us to exclude its samples at any time.
10. Availability and changes to the Service
We work to keep the Service available and reliable but do not promise that it will be uninterrupted or error-free.
We may add, change or remove features. For a signed school, we handle changes as its agreement provides, and we never reduce a privacy commitment without the notice its agreement requires.
11. Disclaimers
Except as stated in a signed agreement with a school, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows. We do not warrant any particular educational outcome.
12. Limitation of liability
To the fullest extent the law allows, we are not liable to an individual account holder for indirect, incidental, special, consequential or punitive damages, and our total liability to an individual account holder arising out of the Service is limited to the greater of fifty US dollars or the amount you paid us in the 12 months before the claim.
A school’s remedies, our liability to a school, and our indemnity of a school are set out in its signed agreement, which controls.
Nothing in these Terms limits liability that cannot be limited by law.
13. Ending your use
You may stop using the Service at any time and delete your account in the app. Everything you uploaded is deleted within 30 days, with backup copies purged within 30 days after that, as the Privacy Policy describes. An account that has been inactive for 12 months is deleted, with notice.
We may suspend or close an account for a violation of these Terms, or close the Service with at least 60 days’ notice and an opportunity to export your materials.
For a signed school, deletion follows its agreement, including a written Certificate of Deletion on request.
14. Governing law and disputes
For an individual account holder, these Terms are governed by the law of the State of Florida, without regard to its conflict-of-law rules, and any dispute will be brought in the state or federal courts located in Miami-Dade County, Florida. These Terms contain no arbitration clause.
For a school, governing law and venue are set in its signed agreement, which for a public school is the law of the school’s state.
Before filing a claim, each of us agrees to try to resolve the dispute by writing to the other and talking for 30 days.
15. Changes to these Terms
We may update these Terms. For material changes we notify account holders by email or in the app at least 30 days before they take effect. Continued use after that date is acceptance. If you do not agree, stop using the Service and delete your account. A signed school’s agreement changes only as that agreement provides.
16. General
These Terms, the Privacy Policy and, for a school, its signed agreement and order form, are the entire agreement between us about the Service. If any provision is unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor that is bound by them and by every signed school agreement, with notice. Neither of us is liable for delay caused by events outside our reasonable control.
